TO CONSUMERS AND NON-PROFESSIONALS

 

1. SCOPE OF THE GENERAL TERMS AND CONDITIONS OF SALE 

These General Terms and Conditions of Sale (GTCS) (hereafter referred to as the “General Terms and Conditions of Sale”) govern all contractual relationships between the company BGC VINS RARES, a French SAS with a registered capital of € 5,000, having its head office at 9 chemin de Bellevue, Villars 63870 ORCINES, listed in the Clermont-Ferrand Trade and Companies Register under N° 342 020 039, and any individual making a purchase on the Website bgcvinsrares.com owned by BGC VINS RARES, hereafter referred to as the “Customer”. 

These General Terms and Conditions of Sale govern all orders made via the website bgcvinsrares.com. 

The bgcvinsrares.com Website offers customers online sales of sought-after wines and Grands Crus. BGC VINS RARES reserves the sale of its products on the bgcvinsrares.com Website exclusively for a customer base comprising Consumers who are not professional dealers, as defined in the French Consumer Code. 

Any customer wishing to order via the bgcvinsrares.com Website therefore agrees to act as such.  

Accordingly, BGC VINS RARES reserves the right to refuse or cancel any order from a customer who is a professional dealer, or any order for an abnormally high number of products, suggesting that the customer is making a purchase for resale for a business or professional purpose.   

The User visiting the Website should ensure that they have carefully read and understood these General Terms and Conditions of Sale in their entirety. Before placing an order on the Website, the User and/or Customer is/are invited to print out these GTCS and/or to save them on a durable media.  

The Customer acknowledges that they have read and understood these GTCS and accept them fully and unconditionally. All orders placed by the Customer on the bgcvinsrares.com Website imply the Customer’s full and unconditional acceptance of these GTCS, which prevail over any other document other than special terms and conditions that have been approved by the Seller in writing. To finalise their order, the Customer will be asked to read these GTCS and to check a GTCS opt-in box; the act of checking this box is deemed as legally valid as the Customer’s hand-written signature. 

BGC VINS RARES reserves the right to adapt or modify these GTCS at any time. In this case, only the terms and conditions in force at the time of the order will apply.  

Throughout these GTCS, the Customer is understood to be the individual with whom the purchase-sale relationship is established, and who will be invoiced for the order. 

Note that, under Article L.3342-1 of the French Public Health Code, all Customers must be legally entitled to sign a sales contract and must be at least 18 years of age to be eligible to place an order on the bgcvinsrares.com Website. 

Article L.3342-1 of the French Public Health Code : “It is forbidden to sell alcoholic beverages to minors. No alcoholic beverage may be sold or given away for free to minors in pubs, shops or public spaces. The individual delivering the beverage will require the Customer to show valid proof that they are at least 18 years of age. 

It is also forbidden to offer minors, against payment or free of charge, any object that would directly encourage the excessive consumption of alcohol. A decree by the Council of State specifies the categories and characteristics of such objects. “ 

 

2. TERMS OF ACCESS AND REGISTRATION 

The bgcvinsrares.com Website is open to any User with Internet access.

 

3. PRICE

All prices for the products offered for sale on the bgcvinsrares.com Website are given in euros, inclusive of all taxes and possible supplementary entitlements based on the taxes specific to each country of destination.  

This price does not include the cost of transport, shipping, delivery or insurance. All these costs are charged to the Customer and are notified on the date of order confirmation.   

BGC VINS RARES reserves the right to change its prices at any time, but agrees to apply the prices in force on the date of recording the order subject to the availability of the products on this date. 

The carrier insures all the products against loss or damage. Note that this guarantee does not cover any defects in the corks of old vintages.

 

4. ORDER AND CONFIRMATION 

To place an order, the Customer follows the sequence of order steps on the Website, i.e.: 

  • Step 1: Customer identification and choice of articles

    The Customer accesses the contents of their basket containing all the chosen articles. The Customer then has to identify themselves and create their Customer Account by entering a login and a password (if the Customer is not logged in, or has no account, the Website will invite them to log in and/or create their account). The act of placing an order on the Website requires the creation of a Customer Account.

    The Customer can place products in their Website basket with no obligation to buy, and can amend their data entries at any time before confirming their order. 

    Product and Price offers are valid so long as they are visible on the Website, excluding promotional offers for which the period of validity is specified on the Website.

    The Customer should check the availability of the sold Products on the information page for each Product.

    Should a Product bear the statement “price on request”, the Customer will be invited to email BGC VINS RARES at the following address: “contact@bgcvinsrares.com” for details on the Product's price. In this case, the order will be made via email.

    Note that quantities are often very limited, either because the request involves a product that is unique or subject to a quota, or because the charter signed with the producer domain limits the number of bottles.

    BGC VINS RARES reserves the right to refuse and cancel recurring and/or repeated customer orders for these limited products intended to circumvent this limitation per customer.

     
  • Step 2: Delivery terms and conditions

    Once the articles have been chosen and the Customer identified, the Customer chooses their desired delivery method and location. They are notified of the shipment cost and delivery time, and confirm their acceptance of the GTCS. 

 

  • Step 3: Payment terms

    The Customer will be invited to pay for their order by redirecting them to the secure payment interface [to be completed], which will contain the following link [to be completed] to the General Terms and Conditions of Sale.

    Products bearing the statement “Price on request” will be paid by bank transfer to the company’s account; the Customer will be emailed the company’s IBAN.  

 

 

  • Step 4: Finalising the order

    To finalise their order, the Customer has to confirm and complete their online payment.

    On receiving the final order confirmation, BGC VINS RARES will send the Customer an email confirming their order. 
    Orders for Products bearing the statement "price on request” will only be confirmed once the company account has received the relevant payment by bank transfer.
    Provided that it notifies the Customer in advance, BGC VINS RARES reserves the right to cancel an order for a Product that is proven to be exceptionally unavailable. Where an order involves several Products, and one of said Products ultimately proves to be unavailable, BGC VINS RARES will notify the Customer of the impossibility of sending the unavailable Product. The remaining order items will be processed and shipped to the Customer within the times stated in the order tracking email. The Customer can also decide to cancel their order in full, provided that they notify the BGC VINS RARES Customer Service Department in advance via email at the following address: contact@bgcvinsrares.com.
    The order’s email confirmation constitutes BGC VINS RARES’s express acceptance of the Customer’s order, and is therefore deemed a legally binding contract of sale between the parties. 
    As soon as the order is ready to be shipped, BGC VINS RARES will send the Customer an email notifying them of the order shipment. 
    Next, at the time of the Product’s shipment, BGC VINS RARES will send the Customer an order tracking email together with the invoice for the ordered Product(s).
    Orders may only be placed using the aforementioned ordering procedure. For technical reasons, BGC VINS RARES will not accept any orders by telephone, email, fax or postal mail other than for products bearing the statement "price on request", which may only be ordered via email.

    The Customer can track the progress of their order on the Website, via their Customer Account.
    The Customer’s attention is expressly drawn to the procedure used to confirm orders on the bgcvinsrares.com Website.
    In this order confirmation procedure, the “double click” and the check box used to signify that the Customer has read, understood and accepted the General Terms and Conditions of Sale, are deemed an “electronic signature” that is the legal equivalent of a handwritten signature.
    They constitute the Customer’s full, unconditional and irrevocable acceptance of the order.
    Unless proven otherwise, the data recorded by BGC VINS RARES via the Internet constitute proof of all the transactions made between the company and its customers.
    Contractual data relating to the order (the order N° in particular) will be confirmed by email in due time, and no later than at the time of delivery/handover.
    A digital invoice will be sent to the Customer as soon as order delivery is complete.
    The data provided by the Customer at the time of placing the order (concerning, in particular, the delivery name and address) is binding upon them. As such, the company shall not be held liable for any error made at the time of placing the order that would prevent or delay delivery/handover.
    Under article 1127-2 of the French Civil Code, prior to registering their final order confirmation the Customer may preview their order, in the form of an order summary displaying the total price and the cost of delivery, and modify their basket or delivery address.
    The company reserves the right to refuse any order placed by a Customer with whom it has experienced any past or present dispute involving the payment of an earlier order. 

 

As soon as the order is ready to be shipped, BGC VINS RARES will send the Customer an email notifying them of the order shipment.  

Next, at the time of the Product’s shipment, BGC VINS RARES will send the Customer an order tracking email together with the invoice for the ordered Product(s). 

Orders may only be placed using the aforementioned ordering procedure. For technical reasons, BGC VINS RARES will not accept any orders by telephone, email, fax or postal mail other than for products bearing the statement "price on request", which may only be ordered via email.

5. AVAILABILITY

Product and price offers are valid so long as they are visible on the Website, within the limit of available stocks. Note that the available quantity of each product is often limited. 

Should a product become unavailable after placing an order, the Customer will be notified of the product’s new availability date. In accordance with Article L. 216-3 of the French Consumer Code, should the product become permanently unavailable or the Customer not wish to wait for its availability, the Customer will be reimbursed in full for the amount already debited from their bank account within fourteen (14) days of the order cancellation. 

 

6. PAYMENT

All payments shall be made in EURO. Payments shall be made in cash on the date of placing the order. 

BGC VINS RARES accepts the following payment options: 

- Credit card (Visa SECURE); 

- and, solely for products bearing the statement "price on request", bank transfer to the company’s bank account, the IBAN for which will be notified to the Customer.  

The order shall only be deemed accepted by the Seller once it has confirmed the order on the basis of its risk acceptance criteria, and the transaction has been approved by the bank payment centre.  

If the payment dossier is approved by the payment centre and the Seller, the Customer will be notified by means of an order confirmation email.  

Should the payment dossier be refused, the order will be automatically refused and the Customer notified by email. 

The order amount is debited at the time of order confirmation. 

The Customer agrees to receive their invoices exclusively in electronic format. The Customer may view, download and print out their invoices on the Website, via their personal space. 

In accordance with Article L132-2 of the Monetary and Financial Code, the payment commitment made via credit card is irrevocable. By notifying the details of their credit card, the Customer authorises the Seller to debit said credit card by the amount corresponding to the price. 

BGC VINS RARES retains full ownership of the Products ordered by the Customer until the latter has fulfilled all their obligations and paid the price in full; conversely, the risks of loss or damage of the Products are transferred to the Customer at the time of Product delivery. 

 

7. TRANSPORT – DELIVERY – HANDOVER 

As stated above, deliveries may be made in France and abroad, subject to impossibilities identified by the transport service providers.  

Deliveries are made at the address specified by the Customer at the time of their order confirmation. 

Possible delivery methods are as follows: Colissimo or Chronopost or, where necessary, the courier service generally used by BGC VINS RARES.  

Estimated delivery times based on the above delivery methods are thirty (30) days at the most. 

Delivery times are given for information only. 

The Customer is advised that they are responsible for assessing the feasibility of Product delivery and drop-off, i.e. whether the delivery location is compatible with the Product’s reception. The Customer is also responsible for providing any necessary access details (elevator, access code, etc.) at the time of placing their order.  

The Customer is solely liable for any incorrect delivery and/or drop-off resulting from a failure to specify the necessary details at the time of ordering.  

The delivery will be made within the times indicated on the order confirmation sent to the Customer by BGC VINS RARES.  

Delivery times are calculated in working days and correspond to the average times required to prepare and ship the order. 

Delivery and pick-up times start to run as from the Seller’s confirmation of the order, which will be formalised by an email sent to the Customer notifying them that their order is currently being prepared. 

Stated delivery times for articles to be delivered on different dates according to the availability of the ordered products will be calculated on the basis of the longer lead time. The Seller shall not be held liable for the effects of any delivery delays.  

Orders will not be cancelled due to shipment delays. BGC VINS RARES will notify the Customer of any such delay by email, in which case, the Customer may decide to cancel their order. In accordance with Article L. 216-3 of the French Consumer Code, if the order has not been shipped by the date of receiving the Customer’s notice of cancellation, the delivery will be blocked and the Customer reimbursed for any amounts debited from their account within fourteen (14) days of the receipt of said notice of cancellation. 

If the order has already been shipped, the Customer will still be able to cancel the order by refusing delivery of the package. In this case, the Seller will reimburse both the products and the return costs within fourteen (14) days of taking receipt of the refused package returned to it complete and in its original condition. 

If the Customer is absent at the time a package is delivered, a delivery notification will be placed in the Customer’s letterbox. It will then be up to the Customer to contact the carrier to organise a new delivery. Any costs generated by this second delivery will be charged to the Customer. 

BGC VINS RARES shall not be held liable for any delivery delay due to the Customer being unavailable or the Customer having given false or incomplete details concerning the delivery address. 

Order delivery is deemed complete once the Customer has signed the delivery receipt. Liability for the Products and the related risks will be transferred to the Customer as soon as they take possession of them. 

 

8. CONFORMITY OF THE DELIVERY 

In view of the fragile nature of the delivered products, in terms of both the bottles and their contents, BGC VINS RARES takes the greatest possible care to protect said products.  

Prior to signing any delivery document, the Customer shall check the conformity of the goods that are delivered or picked up.  

Should they observe an anomaly, the Customer will note their reservations directly on the delivery document, followed by their signature. Such reservations shall be detailed, legible and as accurate as possible. 

Should a serious anomaly be observed (packaging torn or open, missing or damaged products, broken bottles, etc.), the Customer will refuse the package, detailing on the delivery document the reasons for their refusal, which shall be detailed, legible and as accurate as possible. 

This check is deemed to have been carried out as soon as the Customer, or any other person authorised to take delivery of the product in their name and on their behalf, has signed the delivery document. 

Within three (3) days of receiving the product(s), the Customer shall confirm their reservations by emailing BGC VINS RARES at the following address: contact@bgcvinsrares.com, stating both the order number and their decision on whether to have their order reimbursed or exchanged.   

Claims received outside of this time frame will not be accepted. 

The Seller agrees to reimburse or exchange any product that does not conform to the Customer’s order. For its part, the Customer agrees to return any nonconform products according to the procedure detailed in Article 9.4. 

Should the Customer request an exchange, the new product shipment will be made once the Customer has returned the nonconform product and subject to stock availability. Where applicable, BGC VINS RARES will cancel the order of the unavailable Product and make the related reimbursement. 

In all the cases referred to in this Article, product returns will only be approved if said products are received complete, in their original condition (original packaging, etc.) and have not been used by the Customer in any way. In these same cases, return costs will be reimbursed by the Seller.  

If no reservations are made at the time of taking delivery of the product(s), or if the reservations are not sufficiently clear or detailed, BGC VINS RARES reserves the right to refuse to retake, reimburse or exchange the Customer’s Product.  As soon as the delivery slip has been signed and if no reservations have been made, the carrier and BGC VINS RARES will be released from all liability for the delivery. 

 

9. WITHDRAWAL 

In accordance with Articles L.221-18 et seq. of the French Consumer Code, the Customer, exclusively a non-professional individual, has fourteen (14) calendar days as from signing the contract or taking delivery of their article in which to withdraw their order without stating the grounds or bearing any costs other than the return costs, which remain its responsibility.  

Should an order involve several articles delivered separately, the withdrawal period starts to run as from the date of receipt of the final article. 

To exercise their right of withdrawal, the Customer should use the withdrawal form annexed to these General Terms and Conditions of Sale or contact BGC VINS RARES at contact@bgcvinsrares.com, or log in to their Customer Account, section “Product returns”  

The Customer shall comply with the return procedure set out in Article 9.4 below. 

The Seller acknowledges receipt of the Customer’s withdrawal immediately by email. 

In accordance with the provisions of Article L. 221-28 of the French Consumer Code, the right of withdrawal may not be exercised with regard to: 

  • services provided in full prior to expiry of the withdrawal period, for which order execution commenced after the Customer’s express consent and express waiver of their right of withdrawal ;
  • the supply of goods, the price of which is tied to market fluctuations beyond the control of the professional and likely to occur during the withdrawal period. 
  • goods produced according to the Customer’s specifications or clearly customised ;
  • goods that are likely to spoil or expire rapidly ;
  • lgoods removed from their packaging by the Customer after delivery, and which cannot be returned due to health and safety issues. 

Under these provisions, this right of withdrawal does not apply to sales of primeur wines and very old vintages nor to rare wines that may be compromised during their transportation, or for which the price is tied to market fluctuations beyond the control of BGC VINS RARES. 

Following analysis of the Customer’s request by BGC VINS RARES departments, and if their product return request is approved, the Customer will receive a form with a product return number.

As from the date of notification of their withdrawal decision, the Customer has a period of fourteen (14) days in which to return their article, paying the related shipping costs (for carriage and insurance), to the following address: 9 chemin de Bellevue, Villars 63870 ORCINES (FRANCE) De droit commun, les marchandises voyagent aux risques et périls du Client.

Under ordinary French law, the goods are shipped at the Customer’s risks and perils. 

Unopened bottles shall be returned in their original packaging, in good order, free of any damage to the label, with no cracks or scratches on the bottle, the plug or the cap, with cartons or cases neither opened nor unsealed and accompanied by the corresponding invoice.  

Damaged products will be not taken back or reimbursed. 

The Customer will be reimbursed in full for all amounts paid, including shipping costs for the initial delivery, within fourteen (14) days of the date on which the products are recovered.  

The reimbursement may be postponed until full recovery of all the goods.  

The reimbursement will be made via the same payment method as that used by the Customer for the initial transaction, unless the Customer has expressly agreed that the reimbursement can be made via an alternative payment method. 

In accordance with Article L. 221-23 of the French Consumer Code, the Seller may hold the Customer liable for any impairment of the value of the goods due to handling other than that required to protect its nature, its characteristics and its quality. 

Products shall be returned complete and in their original condition, in packaging that is identical to that used for their initial shipping.    

In accordance with Article L. 221-27 of the French Consumer Code, a sales contract will be automatically terminated by exercising the right of withdrawal from a main contract. 

 

10. SECURE PAYMENT MEANS 

The Website allows you to enter your bank details in a secure and confidential manner at the time of placing your order (secure data entry using SSL encryption). 

To ensure the security of its Customers’ credit card payments, BGC VINS RARES uses the services of the following system: […]. This is a secure payment platform that covers all e-money payment services via credit card. This system is based on the use of encryption techniques that protect the confidential nature of information exchange over the Internet.

The Customer can check whether the payment system is secure by verifying in their browser address bar that the website address starts with “https”. 

 

 

11. INTELLECTUAL PROPERTY 

All texts, comments, works, illustrations, images and photographs, trademarks and databases reproduced and incorporated into the bgcvinsrares Website are protected by intellectual property rights and copyright.  

Accordingly, the name BGC VINS RARES is registered at the INPI under number 4793305. 

Unless they have received prior written authorisation, the Customer is strictly forbidden to use any or all of the intellectual property rights held by BGC VINS RARES. 

 

12. WARRANTIES  

The Company is liable for product nonconformities under the conditions laid down in Articles L. 217-4 et seq. of the French Consumer Code, and for latent defects in the object sold under the conditions laid down in Articles 1641 et seq. of the French Civil Code.  

Note, however, that the products sold on the BGC VINS RARES Website are live products, which need to be stored under appropriate conditions in order to protect and preserve their essential qualities. These Products must be stored away from direct light, frost and heat in a room with an ambient temperature of between 5 and 15 °C.  

Therefore, the Customer may not invoke the warranty against BGC VINS RARES should the nonconformity be due to the Customer’s own failure to observe the aforementioned conditions.  

 

13. COLLECTION OF PERSONAL DATA 

The Customer is advised that certain information is mandatory and required to process their order, and that omitting to complete a mandatory field may hinder proper follow-up of their request. 

BGC VINS RARES has established a privacy policy that can be accessed by clicking on the following link [Protection of personal data and cookie management charter]. 

BGC VINS RARES processes or uses personal data solely for the purpose of contacting the Customer, processing their requests, creating and managing their user profile, creating and managing their access to online services or conducting statistical surveys. 

The Customer’s personal data is kept as long as necessary until such time as BGC VINS RARES has fulfilled the service, except in cases where:  

  • The Customer decides to exercise their right to delete their personal data, under the following conditions ; 
  • A longer storage period is authorised or required pursuant to a legal or regulatory provision.

During this period, BGC VINS RARES sets up all the appropriate means designed to ensure the confidentiality and security of personal data. 

With the exception of the above cases, BGC VINS RARES agrees not to sell, rent, assign or allow any third-party access to its Customers’ personal data without their prior consent, unless obliged to do so for legitimate reasons (legal obligation, fight against fraud or abuse, etc.). 

In accordance with the French Data Protection Act of 6th January 1978, amended, and European regulations N°2016/679/EU of 27th April 2016 (applicable from 25th May 2018), the Customer is entitled to access, rectify, transfer and delete their personal data or limit its processing. Where they have legitimate reasons, the Customer may also block the processing of their personal data. 

Provided that they present valid proof of identity, the Customer may exercise their rights by contacting [BGC VINS RARES - Madame La Responsable de la Protection des Données – 9 chemin de Bellevue, Villars 63870 ORCINES by postal mail, or email at: contact@bgcvinsrares.com]. 

If the Customer does not wish or no longer wishes to receive news, promotional offers (by phone, SMS, postal mail or email) and invitations from BGC VINS RARES, they may notify BGC VINS RARES of this fact via the link provided for this purpose, or change their chosen options by contacting BGC VINS RARES under the aforementioned conditions or, where applicable, by changing the settings of their online profile. For further information or to submit a claim, the Customer may contact the Commission Nationale de l'Informatique et des Libertés (find out more at www.cnil.fr). 

Lastly, the Customer is informed that they can register on a Do Not Call list that blocks cold callers:  (https://conso.bloctel.fr/). 

 

14. LIABILITY 

Photographs of the products are not contractual.  

The Customer is required to review product characteristics prior to placing their order.  

While it has taken the greatest care with the storage of its products (temperature, humidity, obscurity), BGC VINS RARES cannot guarantee the impeccable quality of old vintages. In accordance with international custom, BGC VINS RARES is not obliged to exchange corked bottles.  

The product descriptions drafted by BGC VINS RARES on the company’s website are intended to provide the Customer with information on the various oenological qualities of the relevant product and region. Note, however, that neither the description nor the photos are deemed contractually binding documents and may not be made effective against BGC VINS RARES, a fact that the Customer expressly acknowledges fully and unconditionally. 

 

15. MEDIATION – APPLICABLE LAW – SETTLEMENT OF DISPUTES 

Under Article L 612-1 of the French Consumer Code “all consumers benefit from the right of free access to a mediator with a view to finding an amicable solution to their dispute between said consumer and a professional. As such, the professional guarantees the consumer effective recourse to a consumer mediation system. The professional may establish their own consumer mediation system or suggest that the consumer calls on the services of another consumer mediator that meets the requirements laid down under this heading. When there is a consumer mediator with jurisdiction over all the companies in the professional’s area of economic activity, said professional always allows the consumer access to said mediator. “ 

Disputes falling within the scope of Article L 612-1 of the French Consumer Code concern the disputes referred to in Article L 611-1 of the French Consumer Code i.e. disputes of a contractual nature, involving the fulfilment of a sale agreement or the supply of services between a consumer and a professional.  

If a prior written claim addressed to BGC VINS RARES  contact@bgcvinsrares.com has failed to achieve settlement of the consumer dispute, the Customer may refer the matter to a consumer mediator with a view to finding an amicable solution to any dispute that arises in relation to the interpretation and/or execution of these General Terms and Conditions of Sale. 

The Customer is entitled to consult a consumer mediator free of charge.

These General Terms and Conditions of Sale and all transactions pursuant to their implementation are governed by French law. Should these General Terms and Conditions of Sale be translated into one or more foreign languages, the French version will prevail in the event of a dispute. 

The Customer is informed that, in the event of a challenge, they may use a conventional mediation procedure or any other dispute settlement service. 

Following recourse to the Consumer’s aforementioned chosen mediation system, and except where otherwise specified by mandatory rules of procedure, the validity, interpretation, execution, consequences and outcomes of any disputes that may arise pursuant to Orders placed under these General Terms and Conditions of Sale, and which have not been settled amicably between BGC VINS RARES and the Customer, shall be submitted to the jurisdiction of the courts in the Customer’s domicile.  

Where contracts of sale between professionals are involved, the Parties expressly agree to submit this contract to French law and to assign jurisdiction to the Court in CLERMONT-FERRAND.
